Terms of Service

1. Use of the Service

Promer provides an AI ad creative performance platform that helps merchants create, analyze, and optimize marketing creatives and store performance.

The Service may include:

• AI ad creative generation tools
• Ad concept discovery and inspiration tools
• Creative editing and iteration tools
• Store analysis and performance insights
• Ad template libraries and frameworks

Promer may update, modify, or discontinue features at any time.

2. Account Access

Promer may be accessed through:

• Shopify authentication: Promer requires authentication via Shopify. By installing Promer, you grant permission for us to access certain Shopify store data as detailed in our Privacy Policy.
• Promer web accounts

You are responsible for:

• maintaining the security of your account
• controlling access to your workspace
• ensuring your login credentials remain confidential

You are responsible for all activities that occur under your account.

3. Intellectual Property Rights

3.1 User Content

You retain all ownership rights to the raw assets (images, videos, logos, product information, brand assets) that you upload to Promer ("User Content"). By uploading User Content, you grant Promer a worldwide, non-exclusive, royalty-free license to use, store, process, and display such content solely for the purpose of operating and providing the Service.

You represent that you have the legal right to upload and use all content submitted to Promer.

3.2 Generated Content & Usage Rights

Promer uses AI models to generate advertising creatives and marketing content.

• Ownership: Once generated, you own the rights to the final rendered creative outputs ("Generated Content"). You may use Generated Content for commercial purposes, including advertising campaigns on platforms such as Meta, TikTok, Google, or other marketing channels.
• Templates: Promer retains ownership of template structures, generation systems, design frameworks, and software code. The intellectual property of the platform itself remains the property of Promer and its parent company, FireGroup JSC.

4. AI Output Responsibility

Promer uses AI technologies to assist in creative production. AI-generated outputs may occasionally contain inaccuracies or unintended content. You are responsible for reviewing and approving all Generated Content before publishing or distributing it.

Promer is not responsible for:

• misleading advertising claims
• copyright violations
• policy violations on advertising platforms
• inaccuracies generated by AI systems

5. Advertising Performance Disclaimer

Promer provides creative production tools, not advertising management services.

• No Guarantee of Results: We provide tools to build ads based on structured selling logic. However, we do not guarantee any specific advertising performance, including but not limited to: Click-Through Rate (CTR), Conversion Rate (CVR), Cost Per Acquisition (CPA), or Return on Ad Spend (ROAS).
• Ad Platform Compliance: Advertising results depend on many external factors including product-market fit, targeting, ad platforms, and campaign strategy. Promer is not responsible for ad performance outcomes. You are solely responsible for ensuring that the Generated Content complies with the advertising policies of third-party platforms (Meta, TikTok, Google, etc.). Promer shall not be liable for any ad rejections, account suspensions, or legal actions resulting from your use of the Generated Content.

6. Subscription, Credits, and Billing

6.1 Billing:
Promer offers subscription plans billed either through Shopify's billing system (for Shopify app users) or directly via the Promer web app. Subscription fees are charged at the start of each billing cycle.

6.2 Credit System:
Certain features on the web app operate on a credit-based model. Each generation or render consumes a set number of credits. Once credits are exhausted, you must upgrade your plan or purchase additional credits to continue.

6.3 Cancellations & Downgrades:
You may cancel your subscription at any time via your Shopify admin or Promer account settings. Access to paid features continues until the end of the current billing cycle. Plan downgrades take effect at the start of the next billing cycle.

6.4 Refund Policy:
All subscription and credit purchases are generally non-refundable once any credits have been consumed. A full refund may be requested within 7 days of purchase only if no credits have been consumed and no content has been generated. Refund requests after this window or with any usage will not be honored, except as required by applicable law or Shopify's policies.

7. Data Access and Privacy

Promer may access certain Shopify store data in order to provide services. Data processing is governed by our Privacy Policy, which describes:

• What data we collect and how it is used
• How we protect your data
• Your rights and controls over data access

We comply with applicable data protection laws including GDPR, CPRA, and Shopify's Protected Customer Data Requirements. We do not sell merchant or customer data to third parties.

We integrate with third-party services (e.g., analytics providers, payment processors) only as necessary to operate the Service. These integrations are governed by the respective third-party terms and our Privacy Policy.

8. User Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of Shopify's Acceptable Use Policy
• Reverse engineer, scrape, or extract data from the platform using automated tools
• Upload content that infringes third-party intellectual property rights
• Attempt to circumvent security features or gain unauthorized access to any account or system
• Use the Service to create content that is illegal, harmful, or promotes hate speech

Violations may result in immediate account suspension or termination without notice.

9. Intellectual Property

All platform components remain the intellectual property of Promer and FireGroup JSC, including:

• software
• algorithms
• templates
• AI systems
• UI design
• documentation

Nothing in these Terms grants ownership of Promer technology.

10. Limitation of Liability

Promer is provided "as is" and "as available."
To the fullest extent permitted by law, Promer is not liable for:

• service interruptions
• platform downtime
• AI inaccuracies
• advertising performance outcomes
• loss of revenue or profits

Our total liability shall not exceed the amount paid by you to Promer in the six months preceding the claim.

11. Termination

You may stop using the Service at any time. For Shopify app users, uninstalling the app terminates access. For web app users, you may close your account via account settings.

We reserve the right to suspend or terminate your access at any time, with or without notice, for violations of these Terms or any applicable policy. Termination does not waive any outstanding obligations or rights that accrued prior to termination.

12. Changes to Terms

We may update these Terms from time to time.
Material changes will be communicated through:

• email notifications
• in-app notices
• website updates

Continued use of the Service after updates constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Singapore. Any disputes arising from the Service will be resolved under Singapore jurisdiction.
